These Terms & Conditions apply to all work carried out by Woodgate Joinery & Building Ltd ("we", "us", "our"), including joinery, kitchen fitting, composite decking, garden rooms, home renovations, and call-out services. By accepting a quote or instructing us to proceed, you agree to these terms.

1. Our Company

Woodgate Joinery & Building Ltd is a company registered in Scotland. Registered office: 8 West George Street, Glasgow, G2 1BP. We are not VAT registered — all prices quoted are the total price payable. No VAT will be added.

2. Quotes & Estimates

▸ All quotes are valid for 30 days from the date of issue unless otherwise stated.
▸ A quote is a fixed price for the described scope of work. An estimate is an approximation and may vary.
▸ Quotes do not include work outside the agreed scope. Any additional work will be quoted and agreed separately before proceeding.
▸ We reserve the right to revise a quote if the scope of work changes or unforeseen conditions are discovered on site.

3. Accepting Our Quote

Work will only commence once you have accepted our quote in writing (email or message is sufficient) and paid any required deposit. Verbal acceptance alone does not constitute a binding agreement.

4. Payment Terms

▸ A deposit is required before work begins. The deposit amount will be confirmed in your quote and covers initial materials and scheduling.
▸ For larger projects, milestone payments will be agreed in advance and set out in the quote.
▸ The remaining balance is due on completion of the agreed works.
▸ Call-out charges are payable upfront before attendance or on arrival before work starts. Additional time and materials are payable on completion.
▸ We accept bank transfer and card payment on site via card reader.
▸ Late payments may result in work being paused until the outstanding balance is settled.
▸ We reserve the right to charge statutory interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Materials

▸ Materials are charged at trade cost plus a handling and procurement fee. This will be itemised and agreed with you before any materials are purchased.
▸ Where you supply your own materials, we accept no liability for defects, suitability, or delays caused by those materials.
▸ If we need to leave site to collect materials, a collection charge may apply — this will be advised before we proceed.
▸ Title to any materials supplied by us remains with Woodgate Joinery & Building Ltd until full payment has been received.

6. Variations & Change Orders

▸ Any changes to the agreed scope of work must be requested and agreed in writing before additional work is carried out.
▸ Variations may affect the project price and timeline. We will advise you of any impact before proceeding.
▸ We reserve the right to charge for work already completed if a project is cancelled mid-way through.

7. Access & Customer Responsibilities

▸ You are responsible for ensuring we have safe and clear access to the work area at the agreed start time.
▸ Any delays caused by lack of access, utilities not being available, or areas not being cleared may result in additional charges.
▸ You must inform us of any known hazards on site (asbestos, hidden services, structural issues) before work begins. Failure to disclose known hazards may affect your rights under these terms.
▸ We work Monday to Friday, 08:00–17:00 unless otherwise agreed. Out-of-hours work is available at emergency rates.

8. Project Timelines

▸ Start and completion dates are estimates. We will always aim to meet agreed timelines but cannot guarantee them where delays are caused by factors outside our control.
▸ We will keep you informed of any delays as soon as we are aware of them.

9. Cancellations

▸ You may cancel a booking by giving us at least 48 hours' written notice before the scheduled start date.
▸ Deposits are non-refundable where materials have already been ordered or work has commenced.
▸ Cancellations with less than 48 hours' notice may incur a cancellation charge to cover lost time and any costs already incurred.
▸ We reserve the right to cancel or reschedule work due to circumstances beyond our control. In this case, any deposit paid will be refunded in full.

10. Workmanship Guarantee

▸ All workmanship is guaranteed against defects arising from our installation or craftsmanship for a period of 12 months from the date of practical completion.
▸ To make a claim, please notify us in writing within the guarantee period. We will inspect and remedy any genuine defect at no additional cost.
▸ The guarantee does not cover fair wear and tear, misuse, accidental damage, neglect, or issues caused by third-party interference after our work is complete.
▸ Manufacturer warranties on materials and products are separate and subject to the manufacturer's own terms.
▸ The guarantee is void if payment has not been made in full.

11. Snagging & Defects

▸ On completion of larger projects (kitchens, renovations, garden rooms), a snagging period of 14 days applies. Any minor defects or finishing items should be reported to us in writing within this period.
▸ We will return to address genuine snagging items within a reasonable timeframe, agreed with you at the time of reporting.
▸ Snagging does not affect your statutory rights or the 12-month workmanship guarantee.

12. Liability

▸ We are fully insured for public liability and our work activities.
▸ Our liability is limited to the value of the contract for the works in question.
▸ We are not liable for any indirect or consequential losses (e.g., loss of earnings, alternative accommodation costs) unless caused by our proven negligence.
▸ We are not responsible for pre-existing defects or conditions discovered during works unless we were made aware of them prior to quoting.
▸ Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

13. Force Majeure

▸ We will not be in breach of these terms or liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control.
▸ This includes but is not limited to: severe weather, supply chain disruption, material shortages, fire, flood, pandemic, government restrictions, or the actions of third parties.
▸ We will notify you as soon as possible if such circumstances arise and will work with you to agree a revised schedule.

14. Waste & Site Clearance

▸ We will leave the work area in a clean and tidy condition at the end of each working day.
▸ Waste removal and disposal is not included unless specifically stated in the quote. If requested, a charge will apply.

15. Photography & Portfolio

▸ We may take photographs of our work during and after completion for use in our portfolio, website, and social media channels.
▸ Photos will not include identifiable personal information (faces, names, addresses) without your explicit consent.
▸ If you do not wish us to photograph your project, please let us know in writing before work begins and we will respect your wishes.

16. Data & Privacy

▸ We collect and process your personal data (name, address, contact details) solely for the purpose of providing our services and communicating with you about your project.
▸ We will not share your data with third parties except where necessary to complete your project (e.g., specialist subcontractors).

17. Complaints & Dispute Resolution

▸ If you are unhappy with any aspect of our work or service, please contact us as soon as possible: [email protected] or 0141 266 0041.
▸ We aim to acknowledge all complaints within 2 working days and resolve them within 10 working days.
▸ Where a complaint cannot be resolved directly, both parties agree to attempt resolution through a mutually agreed independent mediator before pursuing legal action. The cost of mediation will be shared equally unless otherwise agreed.
▸ If mediation fails, disputes may be referred to the Scottish courts.

18. Governing Law

These terms are governed by the laws of Scotland. Any disputes will be subject to the jurisdiction of the Scottish courts, subject to the mediation process described above.

Note: These terms have been prepared in good faith to protect both parties. We recommend that for significant projects, both parties retain copies of all written agreements, quotes, and correspondence.
